These Terms and Conditions govern access to and use of the websites, applications, assessments, reports, journeys, coaching tools, and related services made available by Whylab Trusted Solutions SARL, trading as 100facets, Av. Victor Ruffy 18, 1012 Lausanne, Switzerland ("100facets", "we", "us", "our").
By accessing or using our services, you agree to these Terms and our Privacy Policy. If you use the services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. If you lack that authority, you agree to be personally responsible for any obligations arising under these Terms.
100facets provides digital services related to leadership development, 360 feedback, team effectiveness, organizational diagnostics, coaching support, learning journeys, assessments, and related professional development uses.
Depending on the relevant service or program, our platform may include:
Some features are free, some are paid, and some are made available only through a sponsoring organization or specific program.
You must be at least 18 years old to use the services unless a different arrangement is expressly permitted by the relevant sponsor and allowed by law.
You are responsible for maintaining the confidentiality of your login credentials and for the activities carried out through your account. You must provide accurate information and keep it up to date.
We may suspend or restrict access where reasonably necessary for security, legal, operational, or misuse-prevention reasons.
You agree not to misuse the services. In particular, you must not:
Some parts of the platform use artificial intelligence and related automated technologies to support analysis, summaries, reports, recommendations, journeys, translations, transcription, and conversational experiences.
These features are intended to support reflection, development, and decision support. They are not a substitute for legal, medical, mental health, employment, or other professional advice.
AI-generated outputs may be inaccurate, incomplete, or not fully suited to a specific context. You remain responsible for reviewing outputs and applying human judgment.
You must not rely on AI-generated outputs as the sole basis for employment, promotion, compensation, disciplinary, admission, or other decisions that may significantly affect an individual.
Where voice features are available, audio you provide may be converted into text to enable the relevant feature.
Certain features rely on third-party AI models and related AI services, which may change over time as part of our normal service operation and improvement.
You retain your rights in the data, text, files, audio, and other content you submit to the platform ("User Content").
You grant 100facets a limited, non-exclusive, worldwide, royalty-free license to host, store, process, analyze, transmit, and use User Content only as necessary to operate, secure, support, and provide the services, and to comply with legal obligations.
100facets does not use User Content, Personal Data, uploaded files, prompts, outputs, transcripts, or other content submitted through the services to train large language models or other foundation models.
Where 100facets uses third-party AI or LLM service providers to support the services, 100facets requires, in the applicable service configuration and contractual arrangement, that such providers do not use Personal Data or User Content processed for the services to train their large language models or other foundation models.
You should upload only documents, files, and other materials that you are authorized to share. Unless the relevant service explicitly requires it or you are otherwise authorized to do so, you should avoid uploading sensitive personal data or other content subject to heightened confidentiality restrictions.
You are responsible for ensuring that you have the right to submit the content you provide and that doing so does not violate law, confidentiality duties, or third-party rights.
If you access 100facets through an employer, university, consulting provider, coach, or other sponsoring organization, your use may also be governed by that organization's program rules, data governance choices, and contractual arrangements.
In those cases, the sponsoring organization may control certain aspects of participation, invitations, reporting access, visibility, retention, or deletion. 100facets may act either as an independent provider or as a processor or service provider depending on the relevant arrangement.
Some features may be offered free of charge, on a trial basis, or as part of a sponsored program. We may modify, suspend, limit, or discontinue free or trial features at any time unless otherwise agreed in writing. Where reasonably practicable, we may provide advance notice before discontinuing a free or trial feature that users are actively using.
Some services may require payment. Pricing, payment terms, usage limits, renewal terms, and cancellation conditions may be described in an order form, subscription flow, commercial agreement, or other written arrangement.
Unless otherwise stated, fees are non-refundable once the relevant service has been activated or delivered, except where mandatory law provides otherwise.
We may suspend paid services for non-payment.
The platform, including its software, designs, workflows, content, methods, reports, and related materials, is owned by or licensed to 100facets and protected by applicable intellectual property laws.
Except for the limited right to use the services in accordance with these Terms, no rights are transferred to you.
If you access non-public information through the platform, including organizational materials, confidential reports, or restricted program content, you must keep that information confidential and use it only for the permitted purpose.
We work to keep the services secure and available, but we do not guarantee uninterrupted or error-free availability.
We may update, modify, suspend, or discontinue features where reasonably necessary for security, maintenance, legal compliance, or service evolution.
Any service level commitments for paying enterprise customers, if applicable, will be governed by the relevant customer agreement rather than these public Terms.
Our Privacy Policy explains how personal data is collected, used, stored, shared, protected, retained, and deleted, including the automated inactivity process that may apply to standard user accounts where no contractual or legal retention obligation requires otherwise.
To the maximum extent permitted by law, the services are provided on an "as is" and "as available" basis.
We do not guarantee that the services will be uninterrupted, error-free, fully accurate, or suitable for every specific purpose.
To the maximum extent permitted by law, 100facets and its affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities arising from or related to use of the services.
Our aggregate liability arising from or related to the services will not exceed the amount paid for the relevant services during the twelve months preceding the event giving rise to the claim, or CHF 100 where no fee was paid, except where a greater limitation is prohibited by law.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
To the extent permitted by applicable law, you agree to indemnify and hold harmless 100facets, its affiliates, and their respective officers, employees, contractors, and licensors from claims, liabilities, losses, damages, and reasonable costs arising from your breach of these Terms, your unlawful or improper use of the services, your User Content, or your violation of applicable law or third-party rights.
This clause does not limit any rights you may have under mandatory consumer protection law where applicable.
100facets will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, failures of telecommunications or internet services, cyber incidents, governmental actions, epidemics, pandemics, or failures of third-party service providers.
We may suspend or terminate access where necessary in response to material breach, security concerns, misuse, legal requirements, or the end of a sponsoring organization's access rights.
You may stop using the services at any time.
Where technically feasible and where termination is not due to material breach or security concerns, we will provide individual users with a reasonable opportunity to export their personal data before access is removed.
After termination or expiration of access, account and related personal data will be handled in accordance with the Privacy Policy, including any applicable inactivity-based deletion process, and any applicable customer contract or sponsor instructions.
These Terms are governed by the laws of Switzerland, excluding conflict of law rules.
The parties will first attempt in good faith to resolve any dispute through negotiation. If a dispute cannot be resolved through negotiation within 30 days, the parties may seek mediation in Switzerland before initiating formal proceedings.
Unless mandatory law requires otherwise, the courts of Lausanne, Vaud, Switzerland shall have jurisdiction over disputes arising out of or relating to these Terms.
Nothing in these Terms limits any mandatory consumer protection rights that apply under the laws of your country of residence where such rights apply. Consumers resident in the European Union may also have access to the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
You represent that you are not located in, or a national or resident of, any country subject to applicable trade embargoes or economic sanctions, and that you are not listed on any applicable sanctions list. You agree not to use the services in violation of any applicable export control or sanctions laws or regulations.
We may update these Terms from time to time. If changes are material, we will publish the updated version and provide reasonable advance notice, either by email to the address associated with your account or by prominent notice within the platform, where appropriate. If you object to the material changes, you may stop using the services before the effective date of the updated Terms without penalty. Continued use of the services after the effective date constitutes acceptance of the revised Terms.
